Terms and Conditions

Many Thanks for choosing Naked Walls to design your project.


Within a Full room design you should expect to receive the following from your designers, if not, Zoe Louise Harrison and Mitchell Fussell, you will be notified of the designer working on your project within your ‘Client Project contract’.


It is recommended that you must have seen and read Naked Walls terms and conditions prior to signing the client project contract.


Our aim is to provide excellence in all areas of quality of works, client care and Excellence in Design and services.


We as a responsible and giving company, acknowledge and are aware that we work in a high end and luxury industry and currently want to show our awareness and graDtude by a way of a compulsory donaDon to our chosen charity partnership. This is to make sure that we are aware and supporDng areas in the community who are in hardship of struggles.
We feel that this is an important thing to do within the industry we work in and have made this an important part whilst running our business.
We personally know the chosen charity well and ask for a minimum donaDon on design fees of £100 to go to the charity of which you will receive a donaDon receipt from the charity. If you wish to increase this amount do let us know. If you do not wish to donate, then please discuss this with your designer, and the company will donate the amount on your behalf from the company’s own funds. We do however hope that you will join us in our efforts to give back. You will find an informaDon page within the client care pack, so please take Dme to learn more about the charity that we have partnered with, and we will happily tell you all about it.


Full Interior Design Service


A 3D rendered design visual of the space. A tendered list of the works to be done in the room, i.e., decorating (paint schedule) light fittings and additional carpentry.
All window dressings and fabrics. Art specifications from our partnered Art dealers. Specification list per space and any technical plans and drawings to go inside with the design including lighting plans. We have allowed for alterations per space if required (see terms and Conditions on the number of amendments). Furnishing Items and styling items sourced and provided within the specification. Full sampling service for all specifications within the design. Personal design meetings. (Travel costs may apply)

This would give you a clear guide to work to and valuable reference point.
We can then manage the design for you and create the room as per the approved design. This would be included in the design management fee.

The Design service is a personal service, bespoke to each client. Naked Walls try to make each design as unique as the last and endeavour to make the design as personal to the clients taste and needs and budget as possible.

Terms and Conditions associated with the Full design service are outlined below:

Please do read through these before signing the agreement.
Naked walls acknowledge that Ginger and Green limited have been paid in full for the full design of the whole apartment. This contract from Naked Walls limited will be using the design from Ginger and Green Limited. Any services provided by Ginger and Green Limited are covered by this agreement also.


Design


1. Naked Walls design fee is a commitment to the team’s skill, knowledge and time and upon paying the invoice this is a commitment to the design contract under the terms and conditions set out by Ginger and Green.

2. Naked Walls do not begin any work before payment is received into Ginger and Green Limited’s account

3. The design fee covers any software costs, knowledge, experience and the teams time, therefore fees for services are non-refundable under any circumstance.

4. Naked Walls full deign is relevant for three months after completion and if work is carried out after or must be re- worked then the client may be liable to pay the design fee in full again.

5. Naked Walls will amend or rework up to 3 hours of work per design and there after a fee will be added to cover excess use of their time.

6. 50% deposits are taken for more than one space and a full fee is taken for one space, this is a contractual agreement that the client has instructed Naked Walls to design their project under Ginger and Green’s terms and conditions.

7. Any works the client chooses to take on behalf of the design, Naked Walls have no responsibilities of the results or outcomes in relation to the design as these compromises the finished product. It is of the advice of Ginger and Green that the design is managed by the design team.

8. Naked Walls choose products in relation to quality and budget.

9. The Full design is owned by Naked Walls limited, and they reserve the rights to show this to clients within their portfolio- if desired to the use of this online then permission from the client will be documented.

10. Design is a creative led service and whilst satisfaction is always aimed for any creative disputes will not be refunded, only at the discretion of the designer and formally submitted to the company director.

  1. Any abuse of Naked Walls time will be charged at £250 per hour
  2. Any products recommended within a design should where possible be purchased

through Naked Walls and if not then the management fee in some cases will be the client’s responsibility to settle.

3D Rendering


13. Naked Walls, 3D rendering service is a visual representation of the project and the fee is a commitment to the time and service provided by Naked Walls.

14. Some minor differences may occur due to technical limitations, but Naked Walls always aim for close accuracy where possible.

15. The service is non- refundable as the cost covers the teams time, knowledge, skills and software costs to deliver 3D rendering.

  1. Printed versions of all 3D renders are available but charged to the client.
  2. Monies are required before any work is actioned.
  3. Price reflects the size of the render and the level of intracity; therefore, prices vary and

are at the discretion of the designer.

19. Changes to 3D renders are available, up to a limit of 3 changes per space but not exceeding 3 hours of time. Thereafter the rendering fee is paid at £250 per hour.

20. Naked Walls reserve the rights to use renders in their professional portfolio, but will gain permission to use on other platforms from the client

21. Upon paying the invoice for the 3D render this is a contractual commitment between the client and Naked Walls that the terms and conditions are agreed to by the client.

22. The client can have up to 6 views per space rendered and sent to them for their own use, any extra rendered views will be charged at £25 per render.

23. Technical design drawings associated with the design are available as and when required specific to each job and only provided when necessary to the job. Extra charges may occur for these given scale and size and depth of detail required which does not sit within the scope of the design or render fee at the designer’s discretion.

24. Naked Walls offer no refund on 3D rendering services at any stage of the design service.

  1. External designs are charged at a higher rate and quoted per project with no set fee.
  2. Products are rendered as close to accurate as possible and slight differences in colour,

textures and finishes may occur.

27. Naked Walls will endeavour to present the renders in the most appropriate and applicable way possible to ensure the client can use them for the purpose expressed.

Moving on from design to implementation. Please make sure to read the terms and conditions relating to the build with Naked Walls.


Design, Build


It is important to say that whilst Naked Walls are working on a project, that project becomes a LIVE Naked Walls site and is managed by the trades and Naked Walls Limited. Naked walls cover on the project runs up to £10 million. The insurance policies held, cover the property for all the work carried out by Naked walls directly and in directly. The policy does not cover theft and fire outside of the works carried out by Naked Walls. Clients must arrange a site visit with a member of the Naked Walls team if they wish to visit the site. Clients must not enter a live site unless given access by Naked Walls. Naked walls may be given access at any time to ease the running of the project. If access is restricted this may cause significant delays to the project and may incur further costs in relation to trade bookings and costs. Your Designer and Project Manager is responsible for the Live site at all times. Appropriate hoarding and security will be put up to outline the Live Naked Walls site.

  1. Naked Walls team of trades are employed by Naked Walls Limited and not the client.
  2. Naked Walls are not responsible for the individuals’ personal circumstances and any fees relating to this

30. Naked Walls referrals where management is not required are not responsible for quality control or time management of the team / individual

31. Naked Walls where management is not required cannot guarantee the work provided will exactly fit the designs without management of the trade and or where design is missing.

32. Naked Walls when not managing are not required or responsible to cover any of the costs outside agreed quotes which occur after the job has proceeded.

33. Naked Walls referral service once deposits are paid is a contractual agreement in association to the terms and conditions, that the trades time is booked in and refunds may not be given if time is not respected in the trades team calendar.

34. Cancellation of referrals must be given as much notice as possible and a cancellation charge may be liable to be paid is this is moved, cancelled outside of an acceptable frame of time.

35. If the recommended trades person is disrespected in any way by the client, then Naked Walls can remove the tradesperson and retain the deposit held.

36. Where Naked Walls management is present: Naked Walls will maintain quality of workmanship and own the responsibility of the standard of work is kept high

37. When Naked Walls management is present: Naked Walls will ensure health and safety, measures are abided to as per the health and safety handbook.

38. When Naked Walls management is present it is the responsibility of Naked Walls to inform the client of any changes in association to monies, trades or timekeeping

39. If Naked Walls management is not present it is the responsibility of the client to communicate any changes

39a. Trade referrals are limited to Naked Walls and Trades are not permitted to give out contact numbers or do work outside of Naked Walls for the client. If the trade is found to take on work for the client outside of the design and after the design, they will be removed from the Naked Walls Trade team and Naked Walls may not continue their work for the client.

39b. All communications must go through Naked Walls in relation to the trades or the project.

Project Management


  1. Project management fee settles at a rate of 12%
  2. The project management fee is paid on account to Naked Walls Limited and is used

against the 12% fee- this is paid before any work begins on Naked Walls Client account

42. Naked Walls are employed in the role of project manager to ensure quality control and time management

  1. Naked Walls are responsible for the time keeping where possible but cannot guarantee.
  2. Naked Walls will communicate any issues relating to time, quality or changes to the

client in a timely manner and without delay.

45. The responsibility of the project lies with Naked Walls Limited but does not include any issues not directly associated with the project manage plan, any issues with insurance claims associated with anything outside of the design, any discrepancies with externally related complications.

46. Any technical occurrences will always be conveyed to the client and not the responsibility of the project manager.

47. The project management fee is non-refundable and covers the booking of the project in the Naked Walls team’s calendar.

48. Naked Walls cannot take responsibility for individual Trades persons personal circumstances and will always aim to resolve but not guarantee. If a tradesperson cannot attend, a replacement will be substituted if possible and will not compromise the service or quality of work carried out.

49. Naked Walls will always communicate changes to the plan to the client as per the project management plan.

49a. Naked Walls will only run a project when finances are received. If late payments occur the project may be halted and cause delays.

49b. Naked walls provide a payment plan for the client which must be followed to keep the project running as smooth as possible. The payment plan can only be amended by Naked Walls in line with the progress on site.

50. Naked Walls in their role as project manager with deal with any orders, deliveries or discrepancies on behalf of the client

51. Naked Walls will always endeavour to act on the client’s best interest in relation to the project and the project plan.

52. Naked Walls will be employed by the client upon these terms and Conditions once the client account is opened and project management has been agreed to.

53. Naked Walls will debit the project management fee where applicable in relation to the project plan.

54. Naked Walls will work closely on the project to ensure that they are responsible, professional, following all health and safety guidelines and keeping track of progress.

55. Responsibility of the safety and construction of design elements lies with the trades person to follow the project plan yet with their professional knowledge, experience and opinion to abide by all health and safety measures covering fire, electrical and construction laws, to subcontract structural engineer where required.

56. Any occasion where something of an external nature effect the running of the project Naked Walls will not be liable for.

57. Any increase in costs during the project plan will be communicated to the client and agreed before proceeding with the project and Naked Walls are not responsible to pay for any increase under any circumstance. This would be any work outside of the agreed cost and project plan given.

58. Naked Walls, once the project is signed off and deemed completed to a high and satisfied standard, will not be responsible for the project thereafter the date the sign off is received. If sign off is not received then the responsibility ends 30 days after signing off is requested by Naked Walls, any discrepancies are to be raised in the 30-day period.

58-a Naked walls will return and remain responsible for any defects which could occur after the project is complete and rectify any issues at their own cost.

58b- Naked Walls will snag the completed works with the client and fill out a client satisfactory form before full sign off on completion of works.

59. Project management is a service provided to organise, liaise, budget and ease the client’s involvement and is not to be mis used or used in excess for any other reason outside of the project plan

60. The client is not permitted to discuss or change the project with the trades team without talking to the project manager to enable the project is not compromised in any way.

When Naked Walls are working on the project a Client Account will be opened and set up for the client’s project. Please make sure that you are happy with the terms and conditions before signing off the client project contract with Naked Walls.


Client Account


  1. Naked Walls limited hold an account with HSBC to manage their client budget
  2. Clients accounts are opened when instructed that full design is in hand and upon

opening is a contractual agreement to the terms and conditions outlined by Naked Walls.

  1. Monies held on account are used for the client’s project ONLY
  2. A percentage of the proposed project, product account and trade account is required to

book in the project and implementation, if this is not opened Naked Walls will be permitted to withhold the design and cease their work for you

  1. Clients will receive a monthly update of the status of their account
  2. Any purchases made through the client account will be advised and permitted by the

client unless otherwise expressed when managing larger projects

67. Naked Walls Limited are responsible to inform the client at any given time of the status of the client account

68. Monies agreed and notified to the client will be debited from the client account, including any delivery or return charges

69. All items purchased and returned will be refunded to the Naked Walls client account.

71. Project management fees are deducted from the client account where necessary as per the project plan in the signed contract of the project with Naked Walls Limited.



Naked Walls Limited Trade agreements


  1. Naked Walls Trade referrals mean that the trade on site is also a representation of Naked Walls Limited
    1a. Naked Walls are liable to ensure the trades high standards.
    1b. Naked Walls will ensure that the Trades relevant Taxes are paid as the main contractor.
    1c. Naked Walls hold contracts with all Naked walls Trades and are only permitted to carry out work to the design specification.
  2. Naked Walls will manage any parts of the design and independent design input is not permitted with the client by the trade’s person.
  3. The design is a guide to what we expect the outcome to look like and this will be managed by the main designers on the Naked Walls Design team.
  4. Naked Walls take care of all quotes and costs associated with the client, so the discussion of money is not permitted between client and The Trade team and must be raised with the main designer or project manager of the live site.
    If the work is not up to a standard that Naked Walls deem to be acceptable then Naked Walls reserve the right to withhold payments on behalf of the client at any stage of the works.
  5. Ginger and Greens, 3D rendering service is a visual representation of the project and the Trades should use this along with any technical planning and drawings to represent Naked Walls design.
  6. Work is to be done to the highest standard possible in the most professional manner. If the client feels this has not been the case, then Naked Walls MUST be informed
  7. Tradespersons should endeavour to keep a site neat and tidy where possible and cause no damage to client’s belongings or possessions, whilst running of a Live site is active.
  8. The client is to raise anything relating to the project with Naked Walls and any questions or queries should be directed to Naked Walls.
  9. Any issues with the property should always be highlighted to Naked Walls Limited.
  10. If Naked Walls and the client are not satisfied with the standard of work provided it is
    expected the work will be rectified free of charge and swiftly dealt with. – Naked walls
    will deal with this on the client’s behalf.
  11. The work will be guaranteed by a warranty outlined in the Client Project Contract by
    Naked Walls. This will be given to you once we know all the items going into the
    project.
  12. Naked walls can share the client’s data with the Tradesperson, but it is up to the
    individual tradesperson to follow the appropriate data protection act.
  13. It is Naked Walls responsibility to communicate as much accurate information to the Trades person as possible to reflect the job in the most accurate way possible.
  14. It is the responsibility of Naked Walls to communicate with the trade team in a timely and efficient manner.


It is the responsibility to give realistic time frames for completion of jobs to communicate this as accurately as possible to the trades.

It is the responsibility of Naked Walls to make sure the trade feels comfortable to work on the job specified.
Make sure that the materials are available on site for the Tradesperson to use. Naked walls are responsible for the management of the trades , the payment of the trades and the quality of the trades.


Design, Build referrals on a Live Naked Walls site.


  1. It is the responsibility of the trade to wear the correct PPE for the job at hand.
  2. Naked Walls are not responsible for the individuals’ personal circumstances.
  3. Naked Walls referrals where management is not required are not responsible for
    quality control or time.
  4. Naked Walls where management is not required cannot guarantee the work provided
    will exactly fit the designs without management of the trade and or where design is
    missing.
  5. Naked Walls when not managing are not required or responsible to cover any of the
    costs outside agreed quotes which occur after the job has proceeded.
  6. Naked Walls referral service once deposits are paid is a contractual agreement in
    association to the terms and conditions, that the trades time is booked in, and refunds
    may not be given if time is not respected in the trades team calendar.

  11. Naked Walls when Management is present will cover public liability claims under
    their independent insurance policy on a Live Naked Walls site.
  12. When Naked Walls management is present it is the responsibility of Naked Walls to inform the client of any changes in association to monies, trades or timekeeping, the
    Trade is not responsible to communicate this to the client.
  13. If Naked Walls management is not present it is the responsibility of the client to
    communicate any changes to time and access to the tradesperson.


Staging


  1. Naked Walls offer a staging service and partner with Ginger and Green to provide a staging service, including furniture’s, lighting, artworks, soft furnishings and accessories, in most cases these items belong to Ginger and Green limited or Naked Walls Limited.
  2. Naked Walls offer this service on POA basis and price accordingly.
  3. Ginger and Green and Naked Walls limited are responsible for the item’s quality,
    style and overall appearance in relation to the bespoke styling package.
  4. Ginger and Green and Naked Walls limited hold contractual agreements with third parties and galleries which if compromised the items will be removed.
  5. If the staging is a permanent feature the total balance is to be paid within the 30-day period.
  6. Ginger and Green will stage and style in relation to the brief given and signed off by both parties.
  7. Ginger and green will book one or multiple style and stage days and if this is moved, cancelled or disrespected a day charge of £1350+ VAT will be charged, a storage fee of £150 per 14-day periods and a £500 deposit for a rebooking will be applied if a notice period of 14 days is not given to Ginger and Green.
  8. If the staging exceeds 3 months from the proposed date items may have to be returned and extra fees may incur due to re organising, re designing and resourcing charged at £90 per hour.
  9. If any damage of items occurs, then the full cost of the item is the responsibility of the client or contractor.
  10. If staging items are owned by the client, then any damages are the responsibility of the client.
  11. If any items are required to be stored this will be charged as per the 14-day rate of £150 minimum dependant on the size and quantity of the item.
  12. On paying the staging fee the client is in acceptance with the terms and conditions and understands the responsibilities of Ginger and Green Limited and Naked Walls Limited.
  13. Naked Walls will be responsible for the finished look only if they are to physically stage this, if externally staged then Ginger and Green or Naked Walls are not responsible for any damages or discrepancies.
  14. If a staging plan is not followed, then the finished look cannot be guaranteed.
  15. Ginger and Greens insurance policy covers only items which are owned by Ginger
    and Green and not those owned by a third party of the client/ contractor themselves.
  16. Ginger and Greens time is a chargeable service and if this is used in excess where
    Ginger and Green have not outlined then the client will have to pay the Hourly fee as
    per the agreement.
  17. Any items owned by Ginger and Green after staging must be returned to Ginger and
    Green 132 High Street,
    Epping, CM16 4AG at the client’s own expense, any damages will be charged at the full RRP.


Communications


  1. Naked Walls communicate via e mail, telephone and WhatsApp.
  2. WhatsApp groups are set up to enable easier communication between the designer
    and the client.
    57. WhattsApp groups are open between Monday to Friday - 9:30 am and 5:30 pm
    58. Communication outside of these times will not be responded to
    59. Information shared on any of these platforms is confidential and will follow client confidentially laws.
    60. WhattsApp is used only for the use of the project and will be deleted thereafter

Events


  1. Naked Walls hold numerous events throughout the year, a risk assessment is always carried out beforehand.
  2. Naked Walls promote brands we feel are of greatness and good ethos.
  3. Naked Walls events outside of Naked Walls incorporate external event organisers.
  4. Naked Walls aim to make their events unique and individual to a specific brief given
    by the host and signed off in event Sign off section.
  5. Naked Walls specialize in the look and ambience of the evening and sub -contracted
    participants are liable to follow their own health and safety guidelines and their own standard of work.

Disclaimers, deliveries and third parties.


  1. NAKED WALLS will make every effort to meet the delivery date provided to our clients. However, we are not liable for any delay in delivery due beyond reasonable control to third parDes.
  2. NAKED WALLS are not liable to clients for any loss injury damage or claim consequenDal, direct or natural outside of NAKED WALLS or GINGER AND GREEN.
  3. NAKED WALLS will promptly deal with failure of delivery or any delays. We will allow delay Dme within your project Dmeframe. (7 days)
  4. NAKED WALLS are not liable for any damaged items from third parDes. Any faulty item/delivery may only be acted upon within the overriding company’s stated T&C’S of which the product was ordered from.
  5. In an event of a failed delivery NAKED WALLS will contact the client when necessary if impacDng the project. This may include resourcing the item.
  6. NAKED WALLS will only deliver to either showrooms or storage units unless requested otherwise.
  7. NAKED WALLS will only place orders once the money has been received into our client account. Note that delay in payment will result in delay of delivered goods.
  8. NAKED WALLS will only send specificaDon of an item upon request.
  9. Any complaints of the item need to be given within 7 days of receiving item to allow
    NAKED WALLS to acDon the correct process.
  10. NAKED WALLS manage the ordering of the item and delivery arranged for the item
    therefore may not always inform the client of every order placed.
  11. NAKED WALLS are not liable for any communicaDon made between the clients and
    third party.
  12. NAKED WALLS include all delivery costs within invoices sent.
  13. NAKED WALLS will have same day acDon any purchases once paid and signed off
    however not liable for lead Dmes vary.
  14. NAKED WALL are not liable for delay in the project in relaDon to sign off.
  15. NAKED WALLS give a lead Dme of 5-6 weeks of curtain instalment from sign off.
  16. NAKED WALLS are not liable for stock changes from third party companies therefore
    will contact you if necessary for potenDal alternaDves/resourcing.
  17. If a third-party company or contractor faces difficulty within their company NAKED
    WALLS will do their best to recDfy in the best interest of the client but cannot
    guarantee it will not impact the project.
  18. NAKED WALLS are not liable for the wrong item sent out by supplier or third party
    which may cause delay to project.
  19. If at any point clients face dissatifaction after signing off and sampling a product, clients will be liable to pay a second invoice for both replacement of item and trade work. Which in turn will cause delay and disrupDon in the project.
  20. NAKED WALLS require wrihen dissatisfaction and/or change in circumstances to items.
  21. Cancellation of a project must be a minimum of 4 weeks prior to start date, if failed to do so with paid invoices, any items purchased then fall under the property of the client.
  22. Product warranDes and receipts are kept with NAKED WALLS. Any issues with items should be raised with NAKED WALLS. All items come with a 2-year warranty.


All paid invoices are a contractual agreement to the terms and conditions between the client, trades team and Naked Walls and must be abided to referenced and always followed to ensure that our business remains at all times, professional, fair and genuine and client care is maintained throughout the use of our services.


Information Relating To Charity Support from Naked Walls Limited.

Working in a high end and luxury industry, we as a company feel we would like to take opportunities to give back. At the forefront of our hearts is the Noah’s Ark charity and Hospice. Zoe visited the site before it opened and learnt about everything the organisation stood for. Since meeting the team and learning about their important work it has always felt like something, given the opportunity she would like to support. Zoe and Mitch have pledged to host some events throughout the year and work with all our contacts to bring awareness and to help donate and raise funds for the special place.

Please do take time to read about the Hospice and all they do. We ask for a compulsory £100 donation, but if you feel this is not something that you wish to do then please do give us a call and we will remove the donation and the company and will make one on your behalf. Zoe and Mitch

Noah’ s Ark Children’ s Hospice helps babies, children and young people with life-limiting or life-threatening conditions, and their families, make the most of every day. Their staff and trained volunteers provide clinical, emotional and practical support for families across north and central London, as well as Herts Valley. The support they provide is carefully adapted for every child and is offered wherever it is required – whether in their home, their community or at Noah’ s Ark’ s state-of-the-art children’ s hospice building, The Ark, in Barnet.
